Are you regulated by the Monetary Authority of Singapore (MAS)?

Can any investor invest in your IFSAM Private Credit Fund (the Fund)?

The Fund can only take in investments from Accredited Investors (AI) as defined by the MAS or the equivalent regulatory body in your jurisdiction.

Accredited Investors are defined (under the Securities and Futures Act of Singapore) as individuals with net assets of S$2 million (with a maximum of S$1 million net from their primary residence) or an annual income exceeding S$300,000 p.a. or financial assets (stocks, bonds, unit trusts, cash and liquid assets) exceeding S$1 million net of any loans. Accredited institutional investors are companies or entities with net assets exceeding $10 million or a company where all the directors are accredited investors.


Who is your parent company, IFS Capital?

IFS Capital (formerly known as International Factors) is a financial services company serving the SME segment in Singapore with offices in Thailand, Malaysia and Indonesia. IFS Capital is listed on the Singapore Stock Exchange.


Can an investor redeem his investment before the Fund’s 3-year lock-in period is up?

Yes, if the investor can find a suitable replacement who is an accredited investor. The Fund Manager can also assist, (on a best efforts basis), to find a suitable replacement. There will be no brokerage or transfer fee levied if the Manager succeeds in finding a suitable replacement.


Will I get back my entire principal at the end of the Fund’s 3-year term?

The Fund is designed, through active management of loan tenors and timing of disbursements, to have all loans mature at the end of the 3-year term as far as possible. However, in the event there are loans that have yet to mature, these will be re-financed with suitable lenders. If some extra time is required beyond the 3-year term, there is a 1 year provision that will trigger (as provided for in the Fund’s Private Placement Memorandum) to allow for a smooth transition.


What is the dividend yield paid by the Fund and the distribution dates?

The Fund will pay between 4.5% p.a. and 5.5% p.a. to investors, net of all fees. Dividends are cumulative and will be paid semi-annually. Excess fees collected in the form of facility fees and late fees will be shared at the end of the 3-year term, with 80% going to the investors and 20% to the Fund Manager.
